Sourcy Inc Terms of Service

These Terms of Service ("Terms") apply to sourcyinc.com and to all products and services provided by Sourcy Inc ("Sourcy," "we," "us"). That includes Agency Nexus, Blueprint, Implio, Sitework, Sourcy DATA, Sourcy Structural and Sourcy Calcs, and our services: Sourcy AI, Sourcy HI, Sourcy Growth, AI implementation, consulting, automation and custom AI development (together, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for an organization, you accept these Terms on its behalf and confirm you have the authority to do so.

1. Accounts

You must be at least 18 and give us accurate information. Keep your login details private. You are responsible for everything that happens under your account. Tell us right away at team@sourcyinc.com if you think someone has used your account without permission.

2. Subscriptions and billing

Paid plans are billed in advance through our payment processor, Stripe, at the price and billing period shown at checkout or in your order. Subscriptions renew automatically until you cancel. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Fees are non-refundable except where the law requires otherwise or we agree otherwise in writing. You are responsible for applicable taxes. We may change prices for future billing periods, and we will tell you before the change. If a payment fails, we may suspend paid features until it is resolved.

3. Consulting and custom work

Consulting, implementation, automation and custom AI development projects may also be covered by a separate proposal, statement of work or agreement. If that document conflicts with these Terms, the signed document controls for that project.

4. Your content and how we use data

You keep ownership of the content you submit to the Services ("Your Content"). You give Sourcy a worldwide, non-exclusive, royalty-free license to host, store, copy, process, analyze, adapt and create derivative works from Your Content and from data about how the Services are used. We use this license to run, secure and improve the Services.

Sourcy may use customer data to train, test and improve artificial intelligence models. This includes data we receive or work with while building custom AI for you. Sourcy may also de-identify that data and sell or license it to third parties and partners for their own AI training, and Sourcy may receive compensation for doing so. Private or sensitive information is never shared. Recipients must agree not to re-identify the data. These rights continue after your account ends. Our Privacy Policy explains this in more detail.

You confirm that you have the rights and consents needed to submit Your Content and to grant this license, including under your agreements with your own clients.

Google user data. Information we receive through Google APIs, such as Gmail and Google Drive, follows the Google API Services User Data Policy, including its Limited Use requirements. We do not use it to train AI models, and we do not sell it.

5. Acceptable use

Do not misuse the Services. For example, you may not: break the law or violate anyone's rights; upload malware, spam, or infringing or illegal material; try to gain unauthorized access, disrupt the Services or get around their limits; copy, resell or reverse engineer the Services except as the law allows; or use the Services to build a competing product. We may remove content or suspend accounts that break these rules.

6. Intellectual property

The Services, including their software, design, content and branding, belong to Sourcy and its licensors. We give you a limited, non-exclusive, non-transferable right to use the Services while you follow these Terms. Any feedback you give us may be used without any obligation to you.

7. Third-party services

The Services may connect to tools you choose to use, such as email, storage or payment providers. Those providers' own terms apply to them, and we are not responsible for them.

8. AI output and professional work

AI-generated output may be inaccurate or incomplete. A qualified person should review it before you rely on it. The Services do not replace professional advice or the judgment of a licensed professional, and you are responsible for how you use any output.

9. Suspension and termination

You can stop using the Services at any time. We may suspend or end your access if you break these Terms, if you don't pay, or if the law requires it. Sections that by their nature should continue after termination will continue, including Sections 4 and 6 through 12.

10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted, error-free or secure.

11. Limitation of liability

To the fullest extent the law allows, Sourcy is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim about the Services is capped at the greater of the amount you paid us for the Services in the 12 months before the claim or $100.

12. Indemnity

You will defend and indemnify Sourcy against third-party claims that arise from Your Content, from how you use the Services, or from a breach of these Terms by you.

13. Governing law

The laws of the State of Florida govern these Terms, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Lee, Florida, and you and Sourcy consent to those courts.

14. Changes

We may update these Terms. If we make a material change, we will give you reasonable notice before it takes effect, for example by email or in the Services. If you keep using the Services after that, you accept the updated Terms.

15. General

These Terms, together with any order or signed agreement, are the entire agreement between you and Sourcy about the Services. If any part of these Terms is unenforceable, the rest remains in effect. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
